Terms of Service

Gap ("Gap", the "Service") is operated by Innovide LLC ("Innovide", "we", "us", or "our"). By accessing or using the Service you enter into a binding agreement with Innovide LLC. If you use the Service on behalf of an organization, you represent that you have authority to bind that organization to these terms.

By creating an account, accessing, or continuing to use the Service, you agree to be bound by these Terms of Service and our Privacy Notice. If you do not agree, do not use the Service. Individuals must be of legal age to form a binding contract.

Gap is an AI-powered competitive intelligence platform that analyzes websites and competitors, generates scores and reports, tracks changes over time, and surfaces growth and conversion recommendations. Access to specific features depends on your subscription plan.

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to provide accurate information and to keep it up to date.

You agree not to misuse the Service. In particular, you must not:

• use the Service for any unlawful, fraudulent, or deceptive purpose;
• send spam or infringe the intellectual property rights of others;
• interfere with or compromise the security or integrity of the Service, including introducing malware, probing, scanning, or scraping beyond what the Service permits;
• attempt to reverse engineer, resell, or redistribute the Service, or circumvent its technical limits.

Gap uses artificial intelligence to generate insights, scores, and recommendations. You are responsible for how you use these outputs, including verifying their accuracy before relying on them. AI outputs may be incomplete or inaccurate and are not a substitute for regulated professional (legal, financial, or otherwise) advice.

• You must not use the Service to generate illegal, deceptive, or harmful content, or to analyze content you have no right to access.
• You retain responsibility for any inputs you provide and for having the rights to submit them. We may remove, restrict, or refuse outputs and may suspend accounts that repeatedly infringe the rights of others.
• Rights holders may report suspected infringement using the contact details below, and we will act on valid complaints.

Innovide LLC retains all ownership of the Service and its intellectual property, including software, documentation, and branding. We grant you a limited, non-exclusive, non-transferable right to use the Service within your selected plan. Any content you submit remains yours; you grant us a limited license to host and process it solely to provide the Service.

Paid plans are billed on a recurring basis according to the plan you select. Payment, billing, currency, tax, cancellation, and renewal mechanics are handled by our reseller Paddle and are governed by Paddle's Buyer Terms. You can cancel or change your plan at any time; changes take effect according to those terms.

Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns.

We work to keep the Service available, but we do not guarantee that it will be uninterrupted or error-free. To the fullest extent permitted by law, the Service is provided "as is" and we disclaim all implied warranties, including merchantability and fitness for a particular purpose.

To the fullest extent permitted by law, Innovide LLC's aggregate liability arising out of or relating to the Service is limited to the fees you paid in the twelve (12) months preceding the claim. We are not liable for indirect, consequential, or special damages, including loss of profits, data, or goodwill. Nothing in these terms excludes liability that cannot be excluded by law.

We may suspend or terminate access to the Service for material breach of these terms, non-payment, security or fraud risk, or repeated or serious policy violations. On termination, your right to use the Service ends and we may delete your data after a reasonable period.

We may update these terms from time to time. Material changes will be reflected by updating the "Last updated" date above, and continued use of the Service after changes take effect constitutes acceptance.

These terms are governed by the laws applicable to Innovide LLC's place of business, without regard to conflict-of-law rules. Questions about these terms can be sent to legal@innovide.io.
